Acceptance of Terms

By accessing and using the services provided by Hoorah Mobile Inc. ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Description of Service

Hoorah Mobile Inc. provides mobile strategy, predictive analytics, and proximity engine services. Our services include but are not limited to mobile application development, data analytics, behavioral AI, augmented reality solutions, and related consulting services.

User Obligations

As a user of our services, you agree to:

• Use our services only for lawful purposes
• Not attempt to gain unauthorized access to our systems
• Respect intellectual property rights
• Not engage in any activity that could harm our services or other users

Intellectual Property

All content, features, and functionality of our services are owned by Hoorah Mobile Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of these terms.

Limitation of Liability

In no event shall Hoorah Mobile Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you for our services in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Hoorah Mobile Inc. and its officers, directors, employees, and agents from and against any claims, actions, or demands, liabilities, and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these terms.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these terms.

Upon termination, your right to use our services will cease immediately.

Governing Law

These terms shall be interpreted and governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of King County, Washington.

Dispute Resolution

Any disputes arising out of or relating to these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Seattle, Washington.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the terms will otherwise remain in full force and effect.

Entire Agreement

These terms constitute the entire agreement between you and Hoorah Mobile Inc. regarding the use of our services and supersede all prior agreements and understandings.
